2️⃣ Definitions

  • “Company” refers to Break Point Design, owned and operated by Noel Mercieca.

  • “Platform” refers to Elevate Local, which hosts the profile page and connects service providers with clients.

  • “Client” refers to any individual, business, or entity that engages with Break Point Design’s services.

  • “Services” refers to all offerings provided by Break Point Design, including but not limited to product photography, corporate photography, graphic design, and web development.


3️⃣ Scope of Services

Break Point Design offers the following services:

  • 📸 Photography Services: Product and corporate photography for commercial and promotional use.

  • 🎨 Graphic Design Services: Logo design, branding packages, print and digital design solutions.

  • 💻 Web Design & Development: Custom websites, e-commerce platforms, and content management solutions.

Clients may request customized service packages, which will be subject to approval and pricing adjustments.


4️⃣ Service Agreement & Payment Terms

  1. Project Proposal & Quote: All services will be initiated after an official quote is provided and accepted by the client.

  2. Deposit: A non-refundable deposit of [Insert % or fixed amount] is required before any work commences.

6️⃣ Client Responsibilities

  1. Project Input: Clients must provide all necessary information, materials, and approvals in a timely manner to ensure project completion.

  2. Revisions & Feedback: Clients are entitled to a specified number of revisions as outlined in the service agreement. Any additional revisions may be subject to extra fees.

  3. Copyrighted Content: Clients are responsible for ensuring that any content provided does not infringe on the rights of third parties.


7️⃣ Cancellations & Refunds

  1. Cancellation by Client: Cancellations must be requested in writing. Deposits are non-refundable, and any work completed will be invoiced.

  2. Cancellation by Break Point Design: Break Point Design reserves the right to cancel services if the client breaches the terms. Refunds for incomplete work may be issued at Break Point Design’s discretion.


8️⃣ Limitation of Liability

  1. No Guarantees: Break Point Design will make every effort to deliver high-quality results but does not guarantee specific outcomes (e.g., increased sales or online traffic).

  2. Liability Cap: Break Point Design’s liability is limited to the total amount paid by the client for the project.

  3. Third-Party Services: Break Point Design is not liable for the performance of any third-party services or platforms integrated into client projects.


9️⃣ Confidentiality

  1. Non-Disclosure: Both parties agree to maintain the confidentiality of sensitive business information shared during the project.

  2. Data Protection: Break Point Design follows data privacy best practices and will not share client information with unauthorized third parties.


🔟 Termination of Agreement

  1. Termination for Breach: Either party may terminate the agreement if the other party breaches its obligations and fails to remedy the breach within 10 business days.

  2. Termination for Convenience: Clients may terminate services at any time, subject to applicable cancellation fees.
